Limited Warranty

This Limited Warranty (the “Warranty”) is provided by Grizzly Tab Inc. (“Grizzly Tab”), an Ontario corporation, to the commercial purchaser identified in the applicable quote, invoice, order form, purchase agreement, or other sales documentation accepted by Grizzly Tab (the “Customer”).

This Warranty applies only to the Grizzly Tab products expressly identified as covered products in the applicable quote, invoice, order form, purchase agreement, or other sales documentation accepted by Grizzly Tab, and only to the extent and for the warranty coverage level expressly identified in such documentation for each applicable product (the “Covered Products”).

By purchasing, accepting delivery of, activating, installing, or using any Covered Product, the Customer acknowledges and agrees that the Covered Products are provided subject to the terms, conditions, limitations, and exclusions set out in this Warranty.

Definitions

“Covered Product”
means each Grizzly Tab rugged tablet unit expressly identified as covered in the applicable quote, invoice, order form, purchase agreement, or other sales documentation accepted by Grizzly Tab, together with any charging port or dock supplied by Grizzly Tab with such unit and expressly identified as covered, provided that each such item was purchased new directly from Grizzly Tab and is identifiable by its original Grizzly Tab serial number, SKU, or other RMA-eligible identifier.
“Software Defect”
means a demonstrable and reproducible defect in the factory operating system and firmware image as originally installed and provisioned by Grizzly Tab at the time of delivery, which causes the Covered Product to fail to power on to its operating system, to remain in a persistent boot loop, or to be otherwise wholly non-functional at the operating-system level. A Software Defect does not include performance degradation, intermittent glitches, slowness, freezing, reduced battery life, individual application errors, connectivity problems, or any condition caused by an event listed in Section 5 or Section 6. The defect must be reproducible on inspection or remote diagnosis by Grizzly Tab.
“Warranty Coverage Level”
means the warranty coverage category expressly assigned to a Covered Product in the applicable quote, invoice, order form, purchase agreement, or other sales documentation accepted by Grizzly Tab, including Standard Limited Warranty Coverage, DOA-Only Coverage, As-Is Coverage, or such other coverage level as Grizzly Tab may expressly identify in writing.
“Warranty Period”
means, for each Covered Product, the period beginning on the date of delivery of that Covered Product to the Customer and continuing for the period applicable to the Warranty Coverage Level assigned to that Covered Product in the applicable quote, invoice, order form, purchase agreement, or other sales documentation accepted by Grizzly Tab.
“Third-Party Software”
means any software, application, service, operating-system update, driver, or firmware that is not the factory image provisioned by Grizzly Tab, including without limitation Samsara, Motive, telematics or fleet-management applications, mobile device management (MDM) clients, carrier or connectivity software, and any application installed, modified, or updated by the Customer or a third party after delivery.

Covered Products

This Warranty applies only to Covered Products. Unless expressly identified as a Covered Product in the applicable quote, invoice, order form, purchase agreement, or other sales documentation accepted by Grizzly Tab, this Warranty does not apply to cables, mounts, cases, batteries, SIM cards, peripherals, consumable components, third-party products, or accessories. This Warranty does not apply to any product purchased from a reseller, secondary market, unauthorized source, or any person other than Grizzly Tab, unless Grizzly Tab expressly agrees otherwise in writing.

Warranty Coverage and Term

3.1

Warranty Coverage and Term. Each Covered Product is subject only to the Warranty Coverage Level expressly identified for that Covered Product in the applicable quote, invoice, order form, purchase agreement, or other sales documentation accepted by Grizzly Tab. If no Warranty Coverage Level is expressly identified, the Covered Product shall be deemed to be subject to DOA-Only Coverage unless Grizzly Tab expressly agrees otherwise in writing.

3.2

Standard Limited Warranty Coverage. Where a Covered Product is identified as subject to Standard Limited Warranty Coverage, Grizzly Tab will, during the twelve (12) month period beginning on the date of delivery, at its sole discretion, re-provision, repair, replace, or refund the affected Covered Product for a verified covered defect, subject to the terms, conditions, exclusions, claim procedures, and limitations set out in this Warranty.

3.3

DOA-Only Coverage. Where a Covered Product is identified as subject to DOA-Only Coverage, Grizzly Tab’s sole obligation is limited to re-provisioning, repairing, replacing, or refunding, at Grizzly Tab’s sole discretion, a Covered Product that is non-functional on arrival or fails to power on to its operating system within five (5) days after delivery, provided the Customer reports the issue within that period and complies with the claim process in this Warranty. No warranty coverage applies after the DOA period expires.

3.4

Consumer-Grade DOA-Only Coverage. Where a Covered Product is identified in the applicable quote, invoice, order form, purchase agreement, or other sales documentation accepted by Grizzly Tab as subject to Consumer-Grade DOA-Only Coverage, Grizzly Tab’s sole and exclusive warranty obligation is limited to replacing the affected Covered Product if, within thirty (30) days after delivery, the Covered Product is dead on arrival or fails to power on or operate at a basic functional level under normal use.

To qualify for Consumer-Grade DOA-Only Coverage, Customer must notify Grizzly Tab in writing within thirty (30) days after delivery, provide proof of purchase and the applicable serial number, SKU, or other RMA-eligible identifier, cooperate with any reasonable diagnostic steps requested by Grizzly Tab, and return the affected Covered Product if requested by Grizzly Tab.

If Grizzly Tab confirms that the Covered Product qualifies for Consumer-Grade DOA-Only Coverage, Grizzly Tab will replace the affected Covered Product with a new unit at Grizzly Tab’s cost. Replacement is Customer’s sole and exclusive remedy. Grizzly Tab has no obligation to repair, re-provision, refund, provide credits, provide loaner units, reimburse costs, or provide any other remedy in connection with Consumer-Grade DOA-Only Coverage.

After the thirty (30) day period expires, Consumer-Grade DOA-Only Coverage ends and the Covered Product is sold “as is” and “as available,” with no Grizzly Tab warranty of any kind, except to the extent expressly required by applicable law.

Customer acknowledges that Covered Products subject to Consumer-Grade DOA-Only Coverage are consumer-grade, third-party-manufactured products and are not part of Grizzly Tab’s rugged product line. Grizzly Tab makes no representation, warranty, or condition that such products are suitable for rugged, industrial, fleet, harsh-environment, mission-critical, or continuous commercial use.

3.5

As-Is Coverage. Where a Covered Product is identified as sold “as-is” or subject to As-Is Coverage, the Covered Product is sold without warranty of any kind, except to the extent expressly stated in the applicable sales documentation or required by applicable law. Grizzly Tab has no obligation to re-provision, repair, replace, refund, or otherwise service the Covered Product under this Warranty.

3.6

Optional Extended Coverage. Any extended warranty, replacement pool, service plan, or enhanced support coverage applies only if expressly purchased by Customer and identified in the applicable quote, invoice, order form, purchase agreement, or other sales documentation accepted by Grizzly Tab. Extended coverage is subject to the limits, exclusions, pricing, claim procedures, and terms expressly stated in the applicable sales documentation and this Warranty.

3.7

Replacements Do Not Extend the Term. Any repaired, re-imaged, or replacement unit is warranted only for the remainder of the original Warranty Period applicable to the original Covered Product. A replacement does not restart, renew, or extend the Warranty Period. Replacement units may be new, refurbished, reconditioned, or functionally equivalent at Grizzly Tab’s discretion.

3.8

Primary Remedy — Remote Re-Provisioning. For any Software Defect, Grizzly Tab’s first remedy is remote re-provisioning (re-imaging) of the Covered Product through its device-management platform, restoring the factory software image and configuration. Repair or replacement — including any draw on the Replacement Pool — applies only where remote re-provisioning does not resolve the Software Defect. A Software Defect resolved by re-provisioning does not count against the Replacement Pool and carries no charge to the Customer beyond the Customer’s own data-backup obligations under Section 16.

3.9

Disclaimer Regarding Re-Provisioning. Customer acknowledges and agrees that remote re-provisioning (re-imaging) may erase or overwrite all data, files, applications, settings, configurations, and third-party software installed on the Covered Product after deployment, and restore the Covered Product to its factory software image and default configuration. Grizzly Tab shall have no responsibility or liability for any loss of data, loss of software, loss of configurations, business interruption, or costs associated with reinstallation, reconfiguration, or recovery of third-party applications or Customer data arising from or relating to any re-provisioning process. Customer is solely responsible for maintaining complete and current backups of all data, software, and configurations prior to requesting or permitting any re-provisioning.

What Is Covered?

This Warranty covers only Software Defects, as defined in Section 1 — that is, defects in the factory operating system and firmware image as originally provisioned by Grizzly Tab. Coverage is limited strictly to software and firmware. No hardware, physical, electrical, or mechanical condition is covered except as expressly stated in Section 4.1 (if elected).

4.1

Charging Port — Limited Hardware Exception. Notwithstanding the software-only limitation above, Grizzly Tab will cover failure of the physical charging port/dock to charge the unit, provided the failure (a) is not caused by any event in Section 5 or 6, (b) is reported during the applicable Warranty Period, and (c) is confirmed by Grizzly Tab on inspection to be a manufacturing or workmanship defect and not the result of use, wear, foreign objects, liquid, or connector damage. This exception is subject to the same coverage duration, claim, and shipping terms as the rest of this Warranty.

What Is Not Covered

This Warranty does not cover, and Grizzly Tab has no obligation with respect to, any of the following:

5.1

any physical, accidental, cosmetic, environmental, electrical, or liquid damage of any kind, including without limitation drops, impacts, crushing, bending, cracked or broken screens or housings, spills, immersion, moisture exposure, corrosion, fire, smoke, heat, freezing temperatures, excessive vibration, contaminants, or exposure to chemicals or hazardous substances or other environmental exposures;

5.2

misuse, abuse, neglect, improper handling, improper storage, improper transportation, commercial overuse beyond intended operating conditions, or use outside published specifications or environmental ratings;

5.3

damage caused by improper charging, improper power supply, electrical fluctuation, power surge, voltage irregularity, or use of non-approved chargers, cables, docks, adapters, accessories, or power sources;

5.4

normal wear and tear, including scratches, dents, cosmetic deterioration, port wear, button wear, screen burn-in, and battery-capacity degradation over time;

5.5

batteries, which are consumable components subject to natural performance degradation through ordinary use;

5.6

any defect, malfunction, or incompatibility caused by Third-Party Software (see Section 7), third-party accessories, customer configuration, unauthorized applications, customer-installed updates, rooting, jailbreaking, re-flashing, or modification of firmware or operating systems;

5.7

connectivity, networking, or carrier-related issues, including Wi-Fi, Bluetooth, cellular, GPS, telematics, signal strength, data plans, or network interruptions;

5.8

unauthorized repair, service, alteration, modification, or disassembly by any person other than Grizzly Tab or its authorized service providers;

5.9

loss, theft, disappearance, or unexplained loss of a Covered Product;

5.10

force majeure events or events beyond Grizzly Tab’s reasonable control; or

5.11

any unit with altered, removed, damaged, or illegible serial numbers or identifying labels.

Conditions That Void This Warranty

This Warranty is void, in whole or in part at Grizzly Tab’s discretion, if any of the following occurs:

6.1

the Covered Product is opened, disassembled, modified, or repaired by anyone other than Grizzly Tab or a Grizzly Tab-authorized agent;

6.2

the factory firmware or operating-system image is rooted, jailbroken, re-flashed with non-Grizzly Tab firmware, or otherwise tampered with;

6.3

Grizzly Tab’s provisioning, security configuration, or MDM enrollment is removed, disabled, or circumvented;

6.4

the unit is subjected to any event listed in Section 5; or

6.5

Customer fails to follow the claim process in Section 9, but only to the extent such failure affects the applicable claim, delays or prevents Grizzly Tab’s ability to diagnose, inspect, re-provision, repair, or replace the Covered Product, or otherwise prejudices Grizzly Tab’s ability to administer the claim.

For clarity, a failure to comply with the claim process in connection with one claim shall not void this Warranty in its entirety or void coverage for other Covered Products or future claims, except to the extent the failure involves fraud, intentional misconduct, misrepresentation, tampering, destruction of evidence, or other conduct that materially prejudices Grizzly Tab.

Third-Party Software, Connectivity, and Services — EXPRESS EXCLUSION

Grizzly Tab does not warrant, and is not responsible for, the performance, availability, compatibility, or function of any Third-Party Software, connectivity, or service. This includes, without limitation, Samsara, Motive, telematics and fleet-management applications, MDM clients, Wi-Fi, cellular and carrier services, GPS, Bluetooth, and any application or service installed, updated, configured, or relied upon by the Customer. If a Covered Product operates correctly at the firmware level but a Third-Party Software product does not function as the Customer expects, that is not a Software Defect and is not covered by this Warranty. Any mobile device management or provisioning services purchased from Grizzly Tab are governed by a separate services agreement and are not covered by this Warranty.

Sole Warranty Provider; Single Point of Contact; Third-Party Manufacturer Warranties

Grizzly Tab is the sole provider of this Warranty and Customer’s exclusive point of contact for warranty claims made under this Warranty. Customer shall direct all warranty claims, service requests, and product-support inquiries under this Warranty solely to Grizzly Tab in accordance with the claim process set out herein.

The Covered Products may include hardware, components, software, firmware, accessories, or other items manufactured, supplied, or supported by third-party manufacturers, software providers, carriers, or other third parties. Any separate warranty, service policy, repair program, or support arrangement provided by any such third party, if available, is provided solely by that third party and only to the extent made available by that third party under its own terms, conditions, exclusions, claim procedures, territorial restrictions, and service limitations.

Grizzly Tab makes no representation, warranty, condition, or guarantee that any third-party warranty, service policy, repair program, or support arrangement is available, valid, transferable, enforceable, applicable in Canada or any other jurisdiction, or available to Customer. Customer is solely responsible for pursuing any separate third-party warranty directly with the applicable third party, if Customer chooses to do so.

For clarity, any third-party warranty, service policy, repair program, or support arrangement that may be available does not expand, extend, modify, reduce, or replace Grizzly Tab’s obligations under this Warranty, does not create any direct obligation of Grizzly Tab to administer or enforce such third-party warranty, and does not create any direct contractual relationship between Grizzly Tab and the applicable third party for Customer’s benefit. Grizzly Tab has no obligation to submit, support, process, facilitate, appeal, fund, supplement, or enforce any third-party warranty claim.

For Covered Products subject to Consumer-Grade DOA-Only Coverage, Grizzly Tab’s sole obligation remains the thirty (30) day DOA replacement remedy expressly stated in this Warranty, regardless of whether any separate third-party manufacturer warranty may or may not be available.

How to Make a Claim

To submit a warranty claim, the Customer must, within the applicable Warranty Period and no later than thirty (30) days after discovering the suspected defect:

9.1

contact Grizzly Tab at Help@GrizzlyTab.com and obtain a Return Merchandise Authorization (“RMA”) number;

9.2

provide proof of original purchase, serial number, shipping details, and a reasonably detailed description of the alleged defect;

9.3

cooperate with all troubleshooting, diagnostic, remote-access, and re-provisioning steps requested by Grizzly Tab. Customer shall remove all passwords, passcodes, account locks, activation locks, device locks, SIM locks, MDM restrictions not controlled by Grizzly Tab, and other access restrictions before returning a Covered Product, unless otherwise instructed by Grizzly Tab. Grizzly Tab is not responsible for any delay, inability to diagnose, inability to repair, or data loss resulting from Customer’s failure to do so; and

9.4

if instructed by Grizzly Tab, return the Covered Product in appropriate protective packaging, with the RMA number clearly marked on the package.

Grizzly Tab may refuse any shipment received without a valid RMA number. The Customer bears all risk of loss or damage during return transit until the Covered Product is received by Grizzly Tab at the designated repair facility. Unless otherwise expressly agreed in writing by Grizzly Tab:

9.5

all repair and return processing shall occur only at repair locations designated by Grizzly Tab;

9.6

Customer is responsible for all customs declarations, import/export compliance, duties, tariffs, taxes, brokerage fees, and related charges associated with international shipments; and

9.7

cross-shipping or advance replacement service is available only if expressly approved by Grizzly Tab in writing.

If inspection determines that the claimed issue is excluded under this Warranty or no defect is found, Grizzly Tab may reject the claim and charge reasonable diagnostic, handling, return shipping, storage, and repair fees.

10

Replacement Units and Shipping

10.1

Approved Claims. For an approved warranty claim, Grizzly Tab will provide the remedy available under the applicable Warranty Coverage Level assigned to the affected Covered Product, subject to the terms, conditions, exclusions, claim procedures, and limitations set out in this Warranty.

10.2

Standard Limited Warranty Coverage. For an approved claim under Standard Limited Warranty Coverage, Grizzly Tab will, at its discretion, re-provision, repair, replace, or refund the affected Covered Product. Unless otherwise expressly agreed in writing, Grizzly Tab will provide standard ground return shipping within Canada and the continental United States. Special, expedited, international, or non-standard shipping, if requested or required, is at the Customer’s expense.

10.3

DOA-Only Coverage. For an approved claim under DOA-Only Coverage, Grizzly Tab will, at its discretion, re-provision, repair, replace, or refund the affected Covered Product in accordance with the DOA-Only Coverage terms identified in Section 3 and the applicable sales documentation. Unless otherwise expressly agreed in writing, Customer is responsible for all shipping, handling, customs duties, taxes, brokerage fees, import/export charges, and related transportation costs associated with the claim, except to the extent Grizzly Tab expressly agrees to cover return shipping.

10.4

Consumer-Grade DOA-Only Coverage. For an approved claim under Consumer-Grade DOA-Only Coverage, Grizzly Tab’s sole obligation is to replace the affected Covered Product with a new unit, provided the claim is submitted, verified, and approved within the thirty (30) day DOA period and otherwise complies with this Warranty. Grizzly Tab will bear the cost of the replacement unit and standard ground shipment of the replacement unit to Customer within Canada and the continental United States, unless otherwise stated in the applicable sales documentation. Customer is responsible for all special, expedited, international, non-standard, customs, duties, taxes, brokerage, import/export, and related transportation charges.

10.5

As-Is Coverage. Products sold under As-Is Coverage are not eligible for replacement, repair, refund, re-provisioning, return shipping, advance replacement, or other warranty remedy, except to the extent expressly stated in the applicable sales documentation or required by applicable law.

10.6

Optional Extended Coverage. If Optional Extended coverage or other extended coverage is expressly purchased by Customer and identified in the applicable sales documentation, shipping, replacement, and return obligations shall be governed by the terms of that optional coverage and this Warranty. Unless otherwise expressly stated, Customer is responsible for all shipping, handling, customs duties, taxes, brokerage fees, import/export charges, and related transportation costs for optional extended coverage claims.

10.7

Replacement Units. Replacement units may be new, refurbished, reconditioned, or functionally equivalent units, at Grizzly Tab’s sole discretion. Grizzly Tab is not required to provide any loaner, temporary replacement, advance replacement, cross-shipment, on-site service, or expedited service unless expressly agreed in writing.

10.8

Return Deadline. Customer must return any defective unit within fifteen (15) days of receiving a replacement unit unless otherwise agreed in writing. If Customer fails to return the original unit within that time, Grizzly Tab may invoice Customer for the full replacement value of the replacement unit.

10.9

Inspection on Delivery. Customer must inspect all repaired or replacement units promptly upon delivery and must notify Grizzly Tab in writing of any shipping damage, shortages, incorrect shipments, or visible defects within five (5) business days of receipt, failing which the shipment shall be deemed accepted.

10.10

Title to Returned Units. Title to any returned unit transfers to Grizzly Tab upon receipt.

No Set-Off

Customer shall not withhold, set off, deduct, or delay payment of any amounts owing to Grizzly Tab by reason of any warranty claim, service request, alleged defect, or dispute, unless expressly agreed by Grizzly Tab in writing.

Exclusive Remedy

THE CUSTOMER’S SOLE AND EXCLUSIVE REMEDY, AND GRIZZLY TAB’S SOLE AND EXCLUSIVE OBLIGATION, FOR ANY CLAIM RELATING TO A COVERED PRODUCT OR ALLEGED DEFECT SHALL BE, AT GRIZZLY TAB’S SOLE AND ABSOLUTE DISCRETION:

12.1

remote re-provisioning or repair of the Covered Product;

12.2

replacement of the Covered Product with a new, refurbished, reconditioned, or functionally equivalent unit; or

12.3

refund of the purchase price actually paid by the Customer for the affected Covered Product.

THESE REMEDIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER RIGHTS, REMEDIES, CONDITIONS, WARRANTIES, OR OBLIGATIONS OF ANY KIND.

Disclaimer of Other Warranties

EXCEPT FOR THE EXPRESS LIMITED WARRANTY STATED IN THIS WARRANTY, AND ONLY TO THE EXTENT APPLICABLE TO THE RELEVANT COVERED PRODUCT AND WARRANTY COVERAGE LEVEL, THE COVERED PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRIZZLY TAB EXPRESSLY DISCLAIMS AND EXCLUDES ALL OTHER WARRANTIES, CONDITIONS, REPRESENTATIONS, TERMS, AND OBLIGATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, FITNESS FOR ANY PARTICULAR USE, DURABILITY, TITLE, NON-INFRINGEMENT, CORRESPONDENCE WITH DESCRIPTION, UNINTERRUPTED OPERATION, ERROR-FREE OPERATION, COMPATIBILITY, SECURITY, AVAILABILITY, OR DATA PRESERVATION.

WITHOUT LIMITING THE FOREGOING, CUSTOMER ACKNOWLEDGES AND AGREES THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL IMPLIED CONDITIONS AND WARRANTIES ARISING UNDER THE ONTARIO SALE OF GOODS ACT OR ANY SIMILAR SALE OF GOODS LEGISLATION ARE EXPRESSLY EXCLUDED, AND ALL IMPLIED WARRANTIES ARISING UNDER ARTICLE 2 OF THE UNIFORM COMMERCIAL CODE OR SIMILAR U.S. LAW, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE EXPRESSLY DISCLAIMED.

NO ORAL OR WRITTEN INFORMATION, REPRESENTATION, OR ADVICE GIVEN BY GRIZZLY TAB OR ANY OF ITS REPRESENTATIVES, SUPPLIERS, DISTRIBUTORS, RESELLERS, CONTRACTORS, OR AGENTS CREATES ANY WARRANTY, CONDITION, REPRESENTATION, OR OBLIGATION NOT EXPRESSLY STATED IN THIS WARRANTY.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIZZLY TAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR AGGRAVATED DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, FLEET DOWNTIME, COST OF SUBSTITUTE EQUIPMENT, OR PROCUREMENT OF REPLACEMENT SERVICES, WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, EQUITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GRIZZLY TAB’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE COVERED PRODUCTS OR THIS WARRANTY SHALL NOT EXCEED THE PURCHASE PRICE ACTUALLY PAID BY THE CUSTOMER FOR THE SPECIFIC COVERED PRODUCT GIVING RISE TO THE CLAIM.

Independent Limitations; Failure of Essential Purpose

Customer acknowledges and agrees that the limited remedies, warranty disclaimers, exclusions of damages, and limitations of liability set out in this Warranty are separate and independent allocations of risk. The exclusions of damages and limitations of liability shall apply notwithstanding any failure of essential purpose, failure, delay, unavailability, or inadequacy of any limited remedy, including any repair, re-provisioning, replacement, or refund remedy. Without limiting the foregoing, Grizzly Tab shall not be liable for any excluded damages, and Grizzly Tab’s total cumulative liability shall remain subject to the liability cap set out in this Warranty, even if any limited remedy is found to have failed of its essential purpose.

Data and Backup

Repair, re-imaging, and replacement may erase all data and settings on the Covered Product. The Customer is solely responsible for backing up its data before submitting a unit for service. Grizzly Tab is not responsible for any loss of data, configuration, or content.

Customer Backup Operations; No Mission-Critical Use

Customer acknowledges that the Covered Products are not designed or intended to be the sole or primary means of communication, navigation, dispatch, compliance, safety monitoring, emergency communication, or business continuity. Customer is responsible for maintaining backup devices, procedures, records, and alternative methods of operation.

Firmware, Software Updates and Support

Grizzly Tab reserves the right, at any time and from time to time, in its sole discretion and without prior notice, to modify, update, upgrade, patch, restrict, suspend, discontinue or otherwise alter any firmware, software, applications, features, functionality, user interfaces, compatibility, connectivity, or services associated with the Covered Products.

Grizzly Tab may remotely deploy firmware or software updates, patches, bug fixes, security updates, or configuration changes to the Covered Product automatically or otherwise. Such updates may modify, add, remove, limit, or alter features, functionality, performance characteristics, interoperability, or compatibility with third-party software, applications, accessories, devices, or services.

Unless expressly stated otherwise in writing by Grizzly Tab, Grizzly Tab does not guarantee that any firmware, software, applications, cloud-based features, connectivity functions, or support services will remain available for any minimum period of time.

Grizzly Tab reserves the right, at any time and in its sole discretion, to discontinue, suspend, or limit technical support, software support, firmware updates, security updates, cloud services, online functionality, or compatibility support for any Product, model, feature, operating system, or software version, without liability to any person.

Grizzly Tab shall not be liable for any loss of data, loss of functionality, loss of compatibility, security vulnerabilities, interruptions, downtime, diminished performance, or other damages or losses arising from or relating to any firmware or software update, modification, discontinuance, or end-of-support decision.

Commercial Sales Only; Non-Transferable

This Warranty is offered solely in connection with commercial (business-to-business) transactions, and the Customer represents that it is acquiring the Covered Products for business use and not as a consumer. This Warranty extends only to the original purchaser and is non-transferable. It does not apply to units resold, leased, or transferred to any third party unless expressly agreed by Grizzly Tab in writing.

Notice

Any notice under this Warranty must be in writing and delivered by email, courier, or registered mail to the contact information set out in the applicable order documentation or such other address as a party may designate in writing. Notices by email are deemed received on the next business day unless the sender receives an automated delivery failure notice.

Governing Law and Jurisdiction

This Warranty and any dispute, claim, proceeding, controversy, or cause of action arising out of or relating to this Warranty, the Covered Products, any warranty claim, or any related transaction shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

Customer irrevocably and unconditionally attorns and submits to the exclusive jurisdiction of the courts of the Province of Ontario for the determination of any dispute, claim, proceeding, controversy, or cause of action arising out of or relating to this Warranty, the Covered Products, any warranty claim, or any related transaction. Customer agrees that any such dispute, claim, proceeding, controversy, or cause of action shall be commenced and maintained only in the courts of the Province of Ontario.

Customer waives, to the maximum extent permitted by applicable law, any objection to the venue, jurisdiction, convenience, or appropriateness of the courts of the Province of Ontario, including any objection based on forum non conveniens or any similar doctrine. Customer further agrees not to commence or maintain any proceeding arising out of or relating to this Warranty, the Covered Products, any warranty claim, or any related transaction in any court or forum other than the courts of the Province of Ontario.

Nothing in this section limits Grizzly Tab’s right to seek injunctive relief, interim relief, protective relief, enforcement of judgment, collection of unpaid amounts, recovery of possession, or similar remedies in any court of competent jurisdiction where Grizzly Tab determines such relief is necessary or appropriate.

Conflict

In the event of a conflict or inconsistency between this Warranty and the applicable quote, invoice, order form, purchase agreement, or other sales documentation accepted by Grizzly Tab, this Warranty shall govern with respect to warranty procedures, exclusions, disclaimers, limitations, and remedies, but the applicable sales documentation shall govern with respect to the Warranty Coverage Level, Warranty Period, product line, quantity, pricing, and any expressly purchased extended coverage.

Assignment & Transfer

This Warranty is personal to the original Customer and may not be assigned, transferred, sublicensed, conveyed, or made available to any other person without Grizzly Tab’s prior written consent. Without limiting the foregoing, this Warranty does not transfer in connection with any resale, lease, rental, financing arrangement, asset sale, share sale, amalgamation, merger, reorganization, change of control, business transfer, insolvency proceeding, or other disposition involving Customer or any Covered Product, unless expressly agreed by Grizzly Tab in writing. Any attempted assignment or transfer in breach of this section is void. Grizzly Tab may assign this Warranty, in whole or in part, to an affiliate, successor, purchaser of assets, or service provider without Customer’s consent.

General

This Warranty version applies only to Covered Products purchased from Grizzly Tab on or after January 1, 2026, unless Grizzly Tab expressly agrees otherwise in writing. This Warranty, together with the applicable invoice, purchase order, services, support, or mobile device management agreement, constitutes the entire agreement between the parties regarding the Covered Products and supersedes all prior or contemporaneous discussions, representations, communications, understandings, warranties, and agreements, whether oral or written, relating to the subject matter of this Warranty. No amendment, modification, waiver, or addition to this Warranty shall be binding unless made in writing and signed by an authorized representative of Grizzly Tab. The limitations, exclusions, disclaimers, governing law, jurisdiction, payment obligations, and any provisions that by their nature should survive shall survive expiry or termination of this Warranty. Failure by Grizzly Tab to enforce any provision of this Warranty shall not constitute a waiver of that provision or any other provision. If any provision of this Warranty is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. Grizzly Tab reserves the right to update or modify this Warranty for future sales at any time, provided that the version in effect on the date of purchase shall govern the applicable Covered Product purchase.
